These Terms of Service ("Terms") apply to client accounts and the client area provided by VDHOSTS INTERNET PRIVATE LIMITED ("VD Hosts", "we", "us") and to any other online service we make available to clients or partners (together, the "Platform"). By registering for or using the Platform, you agree to these Terms on behalf of yourself and the organisation you represent ("you").
1. Relationship with project agreements
The Platform is a way to communicate with us and manage your relationship. The services we perform (such as software development, security testing or managed IT) are governed by a written proposal and agreement signed by both parties ("Service Agreement"). If these Terms conflict with a Service Agreement, the Service Agreement prevails. Every engagement starts with a signed agreement and the advance payment set out in the proposal; see our Client Engagement Policy.
2. Eligibility and registration
- You must be at least 18 years old and authorised to act for the organisation you register.
- You must provide accurate, current information, verify your email address and keep your details up to date.
- Each account is for one named person. Do not share login details; ask us to add colleagues instead.
3. Approval
Every new account is reviewed by our team. We may approve or decline a registration at our discretion, for example where we cannot verify the organisation or where providing services would not be lawful or appropriate. You cannot sign in until the account is approved. We will tell you by email when a decision is made.
4. Account security
You are responsible for keeping your password confidential and for activity under your account. Use a strong, unique password of at least 12 characters. Tell us immediately at info@vdhosts.com if you suspect unauthorised access. We may require additional verification, reset credentials or temporarily lock an account to protect it.
5. Acceptable use
You must use the Platform in line with our Acceptable Use Policy. In particular you must not upload malware, attempt to access data that is not yours, probe or test the Platform's security without written permission, or use it to send unlawful content.
6. Your content
You keep ownership of the information and files you submit ("Client Content"). You grant us a licence to host, process and use Client Content as needed to operate the Platform and provide the services, in accordance with our Privacy Policy and any Data Processing Agreement. You confirm you have the rights and any consents needed to share Client Content with us.
7. Availability and changes
We aim to keep the Platform available but do not guarantee uninterrupted access. We may carry out maintenance and add, change or remove features. Service levels for services we deliver are set out in your Service Agreement and our Service Level Agreement.
8. Suspension and closure
We may suspend or close an account if you breach these Terms or a Service Agreement, if fees are seriously overdue, if required by law, or to protect the Platform or other users. Where reasonable, we will give notice and an opportunity to remedy. You may ask us to close your account at any time; records we must keep by law (for example invoices) are retained as described in our Privacy Policy.
9. Liability
To the maximum extent permitted by law, the Platform is provided "as is", and we are not liable for indirect or consequential loss, or loss of profit, revenue or data, arising from its use. Our liability in relation to services is governed by the Service Agreement. Nothing in these Terms limits liability that cannot be limited by law.
10. Governing law
These Terms are governed by the laws of India, and the courts at the place of our registered office in Uttar Pradesh, India have jurisdiction, unless your Service Agreement provides otherwise (for example arbitration).
11. Changes and contact
We may update these Terms. Material changes will be notified by email or in the Platform and, where required, you will be asked to accept them again. Contact: contact@vdhosts.com.
