This policy explains how intellectual property ("IP") is handled in engagements with VDHOSTS INTERNET PRIVATE LIMITED ("VD Hosts"). Your agreement may contain specific terms, which prevail.
1. Work made for you
On receipt of full payment of the fees for a deliverable, VD Hosts assigns to you all rights, title and interest in the work product created specifically for you under the agreement ("Deliverables"), including source code, designs and documentation, to the extent permitted by law (including section 18 of the Copyright Act, 1957). Until full payment, we grant you a limited licence to use Deliverables for evaluation and testing only.
2. Our pre-existing materials
We use our own tools, libraries, templates, frameworks and know-how developed before or independently of your engagement ("Background IP"). We keep ownership of Background IP. Where Background IP is incorporated into a Deliverable, we grant you a perpetual, non-exclusive, royalty-free licence to use, modify and maintain it as part of that Deliverable.
3. Open-source software
Deliverables may include open-source components, which remain under their own licences. We choose components with licences compatible with your intended use, record them, and will not include components under licences that would require you to publish your proprietary code unless you agree in writing.
4. Third-party products and licences
Software, cloud services, fonts, images and other third-party products are licensed directly to you or bought in your name, under the third party's terms, unless agreed otherwise.
5. Your materials
You keep ownership of everything you provide to us, such as content, data, trade marks and existing code. You grant us a licence to use them only to deliver the services, and you confirm you have the rights to provide them.
6. Portfolio and references
We do not publish your name, logo or details of your project without your written permission.
7. Confidentiality
Confidential information exchanged during an engagement is protected under the agreement or a non-disclosure agreement and is used only for the engagement.
8. Infringement
If you believe content on our website infringes your rights, write to info@vdhosts.com with details of the work, the location of the content and your contact information, and we will act promptly. Notices under the US Digital Millennium Copyright Act may be sent to the same address.
